Closing a JDG or Zawieszenie in Poland 2026

Closing a JDG in 2026: the four CEIDG steps, VAT-Z, spis z natury and VAT od remanentu, plus when suspending (zawieszenie) beats closing the firm for good.

Your business didn't take off, you're leaving Poland, or you've landed a full-time job on an etat (employment contract) - and your one-person firm (JDG, jednoosobowa działalność gospodarcza, a sole proprietorship) is just sitting there as dead weight. Every month the składki (contributions) to ZUS (Poland's social security institution) keep adding up, even with zero income. The first instinct is to shut it all down and forget about it.

Sometimes that's the right call. But often it's smarter to freeze the firm than to liquidate it - that's zawieszenie działalności (business suspension). You stop paying contributions, yet you keep the option to come back without registering from scratch.

Below we cover both routes: how to close a JDG in four parallel steps, what spis z natury and VAT od remanentu actually mean, which tax loose ends stay behind, and the situations where suspension beats a full close.


Close or Suspend a JDG - Which One

Closing (wykreślenie z CEIDG, removal from the sole-trader register) ends the activity completely: the firm is gone, the NIP number goes dormant, and to trade again you register from zero. Zawieszenie działalności freezes the business instead - no ZUS contributions, but the firm is formally alive and you reactivate it with one click in CEIDG. You can suspend for no less than 30 days, up to indefinitely.

Here's the rule of thumb we use with clients in Warsaw: if there's any realistic chance you'll return to this activity in the foreseeable future, suspend. If the decision is final - you're leaving for good, winding down the line of work, moving to an etat with no plans for side income - then close.

The key catch: whether you close or suspend, you cannot run normal operations or earn current income. But with zawieszenie you're allowed to collect payment on contracts signed before the suspension, sell off leftover środki trwałe (fixed assets), and take in receivables that arose before the freeze. In other words, you'll still have time to tie off loose ends.


How to Close a JDG: 4 Steps

Closing a JDG in 2026 is done online in CEIDG, free of charge. Technically it's a single wniosek CEIDG-1 (application form) that automatically triggers four parallel processes. The standard deadline is to file within 7 days of the data zaprzestania działalności (the date you actually stopped trading).

We'll walk through all four, because "clicking the button in CEIDG" is only the first - and it's the other three people forget.

Step 1. Wykreślenie z CEIDG (form CEIDG-1)

Log in to CEIDG through your Profil Zaufany (Trusted Profile) and file the CEIDG-1 with the wykreślenie (removal) option ticked. You state the data zaprzestania działalności - the date the firm actually stopped operating. Every other deadline counts from this date, so don't backdate it on a guess.

You have 7 days from that date to file, and the service is free. CEIDG forwards your data to the US (urząd skarbowy, tax office), ZUS and GUS (statistics office) - but that does not mean anyone closes your tax settlements for you. Only the fact of removal is passed on.

Step 2. Wyrejestrowanie z ZUS (ZUS ZWUA)

Once you're removed from CEIDG, you're automatically deregistered as a contributions payer. But if you had family members or employees insured through you, they have to be deregistered separately with the ZUS ZWUA form. This is a classic slip-up that costs people extra contributions: the firm is closed, but a family member is still sitting on the health insurance.

Check on PUE ZUS (now eZUS) that no składki are charged to your account after the closing date. If they keep accruing, some registration somewhere is still open.

Step 3. VAT settlement (form VAT-Z)

If you were a podatnik VAT czynny (active VAT payer), you file a VAT-Z - the application to deregister from VAT. The deadline is 7 days from the date you ceased activity. It's a separate form; CEIDG will not file it for you.

Before you submit VAT-Z, a spis z natury and a VAT od remanentu calculation are mandatory - more on that in its own section below, because this is where the most common underpayment hides.

Step 4. Closing your PIT

Your final zaliczka na PIT (PIT advance payment) covers the period up to the closing date. The annual return - PIT-36 or PIT-36L, depending on your tax regime - is filed on the normal schedule the following year, by 30 April. Closing the firm neither cancels nor postpones the annual PIT.

This step also settles środki trwałe: what's left on the books, what was sold, whether depreciation needs adjusting. And you check the ulga za kasę fiskalną (cash-register relief) - if you claimed the deduction for an online cash register and the required period since installing it hasn't passed, part of the relief has to be repaid.


Spis z natury and VAT od remanentu

These are the two things that turn a "free CEIDG closure" into a real amount due. They deserve detail, because this is where mistakes happen most.

Spis z natury (remanent likwidacyjny)

A spis z natury is a stock-take of everything left in the firm on the closing date: goods, materials and equipment na które przysługiwało prawo do odliczenia VAT (on which you deducted VAT when buying). Put plainly, it's an inventory of company property on the day of liquidation.

You draw it up as of the data zaprzestania działalności, listing quantity and value for each item. This isn't a form for the drawer - the tax is calculated from it.

VAT od remanentu

Here's where the money is. For property in the spis where you deducted VAT on purchase, closing the firm means you have to charge that VAT again and pay it to the budget. The logic is simple: the state gave you the VAT back when you bought goods for the business; you close the business, the property stays with you as a private individual, so the VAT comes back.

A typical case from our practice. A client closes a JDG with 30 000 PLN of goods still in the warehouse, all bought with a VAT deduction. On closing he pays VAT od remanentu of roughly 5 600 PLN - 23% of the net value. He didn't see it coming, because "closing is free", right? Free is the removal. The VAT on leftover stock is a real bill.

If no VAT was deducted on the property when you bought it - purchased without a VAT invoice, from a non-payer, or it's personal property - it doesn't enter the VAT od remanentu base.


Zawieszenie Działalności: How It Works

Suspension is an underrated tool. Plenty of people don't know about it and close the firm when freezing it would have done. Zawieszenie działalności is available to an entrepreneur with no staff on a umowa o pracę (employment contract). It's also arranged online through CEIDG, free.

Timeframes

The minimum suspension for a JDG is 30 days. There's no maximum - you can suspend indefinitely. You reactivate any time through CEIDG: no re-registration, and your NIP and all data stay intact.

What you can and can't do during zawieszenie

While suspended you cannot run ordinary day-to-day activity or earn income from it. But the law allows a set of actions so the business doesn't hit a dead end:

  • collect payment on contracts signed before the suspension;
  • sell your own środki trwałe and equipment;
  • take in receivables that arose before the zawieszenie date;
  • incur necessary costs to preserve the source of income;
  • take part in court and tax proceedings tied to past activity.

So if someone owes you money on an old contract, you can calmly collect it even while suspended. That's the key difference from full liquidation.

What happens to ZUS and taxes

During zawieszenie you pay no ZUS contributions - the whole point for anyone with no income but crushing dues. Watch the składka zdrowotna (health contribution): the way it's calculated has changed, so it's worth checking the current rules separately - we cover them in our piece on the 2026 składka zdrowotna reform. VAT returns for periods of full suspension are generally not filed, though there are exceptions - for instance, if transactions arise under old contracts.


Tax loose ends and common mistakes

Even after the firm is struck off, obligations remain. Not knowing them is the most common reason people come to us to "finish" a closure they started themselves.

  • The annual PIT hasn't gone anywhere. File the return for the year of closure by 30 April the following year. People assume no firm means no return. It doesn't.
  • Keeping records. Hold your księgi podatkowe (tax books) and documents for 5 years from the end of the year in which the tax payment deadline fell. The US can audit you after closure.
  • VAT od remanentu not calculated. The most expensive mistake. You close, and a year later the US sends a demand with the shortfall plus odsetki (interest).
  • Family members left on health insurance. Contributions keep ticking after the firm is closed.
  • Ulga za kasę fiskalną. If you used the cash-register deduction and closed too soon, part of it has to be repaid.
  • Wrong data zaprzestania działalności. Every deadline counts from it: the 7 days for VAT-Z, the spis z natury, the final zaliczka. Get the date wrong and every deadline shifts with it.

Closing a JDG looks like a five-minute job in CEIDG - right up until VAT od remanentu surfaces, a family member is still on health insurance, or a wrong date sends every deadline off track.
